1. Parties and Acceptance
These Terms & Conditions ("Terms") govern access to and use of Pruna's hosted AI models made available via API and related websites, dashboards, and documentation (collectively, the "Service") provided by Pruna AI GmbH ("Pruna", "we", "us"). By creating an account, using an API key, or otherwise using the Service, the legal entity you represent ("Customer", "you") accepts these Terms.
2. Key Definitions
- “API” means the HTTPS endpoints and credentials Pruna provides for programmatic access to the Service.
- “Model” means a trained machine-learning model hosted by Pruna that accepts Inputs and returns Outputs.
- “Pruna Model” means a Model owned or operated by Pruna. “Third-Party Model” means a Model provided by a third party and hosted or proxied by Pruna.
- “Prediction” means a single API request that triggers execution of a Model to produce an Output.
- “Inference” means the processing of a Prediction by a Model.
- “Input(s)” means data you send to the Service for processing (e.g., text, images, audio, prompts, parameters, and code).
- "Output(s)" means content returned by the Service in response to Inputs (including generated media, text, or predictions).
- "Customer Data" means Inputs and Outputs.
- "Telemetry Data" means logs, metrics, and operational data (e.g., timestamps, Inference Time, error codes) generated by the Service.
3. Service Scope and Accounts
3.1 Hosted Service. Pruna operates the Models and underlying compute. You access them via API.
3.2 Accounts & Credentials. You must safeguard API keys and restrict use to authorized users/systems. You are responsible for activities under your keys.
3.3 Model Catalog & Changes. Pruna may add, modify, or deprecate Models. We'll provide reasonable notice of breaking changes or removals that materially affect existing integrations.
4. Pricing, Metering, and Billing
4.1 Pricing & Taxes
(a) Pricing: Pay-Per-Use. Fees are usage-based and calculated from the aggregated number of Prediction requests at the then-current rates published in your dashboard or pricing page.
(b) Taxes: Prices are stated before applicable sales tax. All taxes are to be paid by the Client.
4.2 Invoicing and Payment Terms
(a) Invoicing. At the end of each calendar month, Pruna will calculate the Customer’s usage of the Service during that month and issue an invoice by email to the billing contact on file.
(b) Payment. All invoices will automatically be charged to the payment method saved in your account. If no valid payment method is on file, Pruna will issue the invoice by email to the billing contact, and such invoice will be due and payable within seven (7) days of receipt by credit card or wire transfer.
(c) Fraud Prevention & Early Payment. To prevent fraudulent or abusive use, Pruna reserves the right to require payment before the end of a billing period if unusual usage patterns, exceedance of thresholds, or other indicators of risk are identified. Any such early payment will be credited against the final invoice for that period.
(d) Late Payment. If an undisputed invoice remains unpaid for a material period beyond its due date, Pruna may, in accordance with applicable law, charge statutory interest on the overdue amount. Pruna may also suspend access to the Service until payment is received.
(e) Payment Method Changes. If the payment method on file is removed or replaced, all amounts already invoiced, and all usage of the Service up to that date that has not yet been invoiced, become immediately due and payable using the updated payment method.
(f) Taxes. Prices are stated before applicable sales tax. All taxes are to be paid by the Client.
5. Fair Use, Quotas, and Rate Limits
We may enforce throughput or concurrency limits, request size limits, and abuse detection to protect the Service. You must not attempt to bypass such limits or manipulate metering.
6. Data Use and Privacy
6.1 Ownership. As between the parties, you retain all rights in Customer Data. Pruna retains all rights in the Service and Models.
6.2 License to Operate. You grant Pruna a limited license to process Customer Data to provide the Service.
6.3 Telemetry Data. We use Telemetry Data to operate, secure, and improve the Service. Telemetry Data will not identify you.
6.4 Security. We maintain safeguards appropriate to the Service and data processed. A DPA will apply where the Service processes Personal Data on your behalf.
7. Third-Party Models and Content
Some Models or tools are provided by third parties. Their licenses or use terms may apply to your use of those Models/Outputs. You are responsible for complying with any such third-party terms that apply to your chosen Model(s).
8. Model Behavior and Outputs
Outputs are generated by probabilistic systems and may be inaccurate, biased, or harmful if misused. You are responsible for human review appropriate to your use case.
9. Availability and Support
9.1 Availability. We aim for high availability but do not guarantee uninterrupted Service. Maintenance windows and incidents may occur.
9.2 Status. We provide status updates upon request by email at support@pruna.ai.
9.3 Support. Business-hours email support; enhanced support/SLA may be available under a separate plan or policy.
10. Acceptable Use Policy (AUP)
You will not (and will not allow others to):
(a) use the Service in violation of any applicable law or regulation;
(b) attempt to disrupt, probe, reverse engineer, or bypass any technical or safety safeguards of the Service;
(c) upload or disseminate malware or other harmful content, or otherwise use the Service to harm electronic systems;
(d) bypass Rate Limits, manipulate billing, or otherwise interfere with the fair use of the Service;
(e) generate or disseminate content that is fraudulent, deceptive, defamatory, harassing, discriminatory, exploitative of minors or vulnerable groups, or intended to mislead, manipulate, or cause harm to others;
(f) impersonate individuals without authorization, or misrepresent machine-generated content as human where disclosure is required;
(g) use the Service to automate high-stakes decisions in sensitive areas such as health, safety, law enforcement, credit, housing, or other essential rights or services without appropriate human oversight;
(h) use the Service for violent extremism, terrorism, military purposes, or other activities contrary to public safety or social ethics;
(i) infringe upon intellectual property rights or engage in unauthorized or unlicensed professional practices (including financial, legal, or medical services);
(j) use the Service to build competing hosted inference offerings without Pruna's prior written consent.
11. Intellectual Property; Model IP
Pruna and its licensors own the Service, Models, and associated IP. No rights are granted except as expressly stated. You may use Outputs subject to any third-party Model license terms disclosed for that Model.
12. Commercial References
Pruna may use Customer's name and logo as a commercial reference by default. Customers may opt-out at any time by contacting us.
13. Warranties and Disclaimers
The Service and Models are provided "as is." Pruna disclaims all implied warranties (including merchantability, fitness for a particular purpose, and non-infringement). We do not warrant that Outputs will be error-free, accurate, or meet your requirements.
14. Indemnities
14.1 Pruna will defend Customer from third-party claims alleging that the Service (excluding Customer Data and Third-Party Models) infringes IP, and will pay resulting damages finally awarded, provided you: (i) promptly notify us; (ii) give us sole control of defense; and (iii) cooperate. We may modify the Service, replace functionality, or terminate affected access with a pro-rata credit.
14.2 Customer will defend Pruna against claims arising from Customer Data, your use in violation of the AUP/law, or combination with non-Pruna services.
15. Liability
To the maximum extent permitted by law, neither party is liable for indirect, incidental, special, consequential, exemplary, or punitive damages.
Pruna's total liability under these Terms is capped at the greater of EUR 1,000 or the fees paid by you to Pruna for the Service in the 12 months before the event giving rise to liability.
16. Term; Termination; Effect
16.1 Term. These Terms start when you first use the Service and continue until terminated.
16.2 Convenience Termination. Either party may terminate with 30 days’ notice. We may also terminate immediately for material breach, legal compliance, or risk of harm.
16.3 Effect. Upon termination, your API keys will be disabled; outstanding fees are due; Sections 6–11 and 13–16 survive. We will retain only what's necessary for billing/audit and as required by law, consistent with Section 6.4.
17. Electronic Signature
It is understood between the Parties that the Agreement may be signed by any electronic means, the Parties recognizing the reliability of the process, thus giving it the same legal value as a handwritten signature within the meaning of the law.
18. Applicable Law and Venue of the Dispute
The Agreement is governed by and interpreted according to German laws, specifically those of the Free State of Bavaria. Any conflict or dispute related to the validity, the interpretation, performance, and/or termination of the Agreement must be submitted to the exclusive jurisdiction of the Munich District Court (Landgericht München).
