APPENDIX 2: PRUNA MODELS APPENDIX

This Appendix (“Appendix”) supplements and forms part of the Pruna AI API Terms of Service (the “Terms”). It applies solely to Pruna proprietary models (“Pruna Models”) made available through Pruna’s API or other authorized means. In case of conflict, this Appendix prevails for matters specifically related to Pruna Models.

1. Access and License

Pruna grants Customer a non-exclusive, non-transferable, revocable license to access and use the Pruna Models via API, in accordance with the Terms. Access may include early-access or limited-release models provided solely for testing or evaluation. By default, access to Pruna Models is API-only, meaning all computation and model execution occur within Pruna’s managed infrastructure. Use of Pruna Models is restricted to API access. Self-hosting or local deployment is not permitted, except where explicitly pre-authorized in writing in an applicable Order Form and fully completed under a separate agreement executed between the Parties.

2. Self-Hosting Eligibility

Customers accessing Pruna Models via API may, upon reaching a revenue threshold defined in the applicable Order Form, become eligible for self-hosting of the corresponding Pruna Models. Eligibility does not grant automatic self-hosting rights. Once the threshold is reached, Pruna AI will notify the customer to coordinate deployment assistance and update licensing, security, and commercial terms. Self-hosting remains subject to Pruna’s prior written approval and compliance with all applicable technical, confidentiality, and infrastructure requirements defined by Pruna AI. Unless otherwise agreed in writing, API connectivity and telemetry reporting must be maintained during any approved self-hosting period to ensure lawful usage monitoring and license verification. Any unauthorized local deployment or circumvention of API-only restrictions constitutes a material breach of this Appendix.

3. Model Exclusivity Access

Pruna AI may, at its sole discretion, grant a temporary exclusivity right to a Customer for access to one or more specified Pruna Models, either following their official public release or as part of an agreed early-access program. Such exclusivity shall be limited in duration as defined in the relevant Order Form and shall apply solely to the specific Model version identified therein. During the exclusivity period, Pruna AI will not grant equivalent access to directly competing third parties, except as required by law, regulation, or governmental mandate. The exclusivity period shall commence either on the official public release date of the applicable Model, or on an earlier date mutually agreed in writing for early-access partners, and shall automatically expire upon the lapse of the defined period, without need for notice or renewal. Exclusivity does not extend to model updates, derivative works, or successor versions unless expressly stated in writing and agreed by both parties.

4. Confidentiality and Early-Access Restrictions

This Appendix and any accompanying information relating to Pruna Models contain proprietary and confidential information belonging to Pruna AI. Such information is intended solely for authorized individuals and may not be disclosed, copied, or distributed in whole or in part without prior written authorization from Pruna AI. Customers receiving early or experimental access may not publicly communicate or disclose details about the Pruna Models, their performance, or capabilities, except expressly approved in writing by a Pruna AI authorized representative. Before the official public release of any Model, Customers with early or exclusive access must refrain from any public reference or disclosure. Pruna AI will confirm the official release date in writing, after which limited disclosure may occur only with Pruna’s prior written approval.

5. Commercial Terms and Reseller Conditions

In addition to Clause 4 (Pricing, Metering, and Billing) of the Pruna AI API Terms of Service, the Customer may, where expressly authorized by Pruna AI, be granted Reseller status for certain Pruna Models. Under this status:

(a) Pruna will invoice the Customer for API usage at Pruna’s then-current public pricing, less the Reseller Discount specified in the Order Form.

(b) Fees owed to Pruna AI are calculated solely based on the discounted rate described above and are not affected by the resale price set by the Customer.

(c) The Customer may freely determine its own resale price for access to the API, provided that such resale price does not exceed Pruna’s public pricing. The Customer may offer lower resale prices, including at or below cost, without affecting the fees owed to Pruna AI.

(d) Model eligibility and applicable reseller terms are defined in the relevant Order Form or in Pruna’s Model List made available to the Customer.

6. Model Integrity and Derivatives

All Pruna Models are watermarked and remain the exclusive property of Pruna AI. The Customer may not copy, extract, or attempt to reproduce the Pruna Models, nor create or train derivative models or systems of a similar modality based on the Pruna Models or their Outputs without Pruna’s prior written authorization. This restriction on derivative use remains effective for the entire duration of the Agreement and continues for twelve (12) months following its termination or expiration, and any unauthorized copying remains permanently prohibited.

7. Patent-Litigation Termination

If Pruna AI initiates or voluntarily participates in litigation alleging that a Customer’s products, services, or technology infringe Pruna’s patents, all rights and licenses granted to that Customer under this Appendix shall immediately terminate as of the filing date of such action.
